Navii Terms of Service

Effective date: October 2, 2025

These Terms of Service (the “Terms”) are a legally binding agreement between Neopolis Global, Inc. (“Neopolis,” “we,” “us,” or “our”) and the person or entity who accesses or uses Navii (the “Service”). By creating an account, clicking “I agree,” or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you”/“Customer” refers to that organization.

If you (or your organization) have a signed Master Subscription Agreement (MSA) with Neopolis: that MSA and any applicable Order Form govern to the extent of any conflict with these Terms. These Terms apply to self‑serve and click‑through users who do not have a negotiated agreement.

1. Who we are; How to contact us

Neopolis Global, Inc. operates Navii (heynavii.ai) and related sites/apps (neopolis.ai). For support and legal questions: support@neopolis.ai (or hey@heynavii.ai). Headquarters: Mountain View, California, USA.

2. Eligibility

You must be at least 16 years old (or older where local law requires) to use the Service. You may not use the Service if you are barred under applicable law, on a U.S. sanctions list, or located in a country subject to comprehensive U.S. sanctions.

2.1 What Navii includes (service overview)

Navii is a career companion platform that uses AI to help users navigate careers and opportunities. Core features include: AI Twin (a digital career identity), Career Guidance (personalized insights), Job Matching, Automated Applications, and Professional Branding tools. Feature availability may vary by plan and region, and some capabilities are provided through integrated third‑party services.

3. Accounts and security

Provide accurate information, keep your credentials confidential, and promptly notify us of any unauthorized use. You are responsible for activity under your account. We may require multi‑factor authentication for certain actions.

4. Plans, trials, and billing (self‑serve)

We may offer free trials, free tiers, and paid subscriptions. Fees, billing cycles, and limits are shown at checkout/plan pages. Paid subscriptions auto‑renew unless you cancel through your account settings before the next term. Taxes may be charged where applicable. We may suspend or terminate for non‑payment. Except where required by law, fees are non‑refundable.

5. Access rights; No software sale

Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable right to access and use the Service for your internal purposes during your subscription. No software is sold or licensed to you. We (and our licensors) reserve all rights not expressly granted.

6. Acceptable Use

You (and any end users) will not:

  • Reverse engineer, decompile, or attempt to discover source code or underlying components of the Service.
  • Access the Service without authorization, probe or test the vulnerability of systems, or interfere with users or networks.
  • Upload or transmit malware or any code intended to disrupt or harm.
  • Infringe or misappropriate the IP or privacy rights of others; post unlawful, harassing, discriminatory, or defamatory content.
  • Scrape the Service, use robots/spiders, or bulk‑extract data except via our documented APIs within published rate limits.
  • Bypass rate limits, attempt to circumvent safety filters, or use the Service for activities that violate law or these Terms.
  • In AI interviews, manipulate the AI, use automated tools to generate artificial responses, or otherwise cheat in assessments.

We may suspend or terminate accounts for AUP violations.

6.1 Your responsibilities

To help keep the Service secure and reliable, you agree to: (i) understand and comply with your contractual obligations to Neopolis; (ii) keep your technical and administrative contact information current; (iii) maintain your own systems of record; (iv) supervise and manage your personnel’s use of the Service; (v) maintain your own business continuity and disaster recovery plans for scenarios where you cannot access the Service; (vi) provide Neopolis with approvals for security and configuration changes for any managed data transfers or integrations; and (vii) promptly notify Neopolis of any suspected security incident or compromised user or integration accounts.

7. AI output, prompts, and your content

Your Content. You retain ownership of content you submit to the Service (e.g., profiles, résumés, prompts, interview responses) (collectively, “Customer Content”). You grant us a worldwide, royalty‑free license to host, process, transmit, and display Customer Content to provide, secure, support, and improve the Service.

Outputs. The Service may generate text or other outputs in response to your prompts (“Outputs”). To the extent permitted by law and by any third‑party model terms, we assign to you our rights in the Outputs and otherwise grant you a worldwide, royalty‑free license to use the Outputs for your lawful purposes. Outputs may be inaccurate, incomplete, or reflect limitations of training data; you are responsible for evaluating their accuracy and appropriateness before relying on them.

Usage Data & Feedback. We may collect usage/telemetry data about how you use the Service (“Usage Data”) and you grant us a perpetual, irrevocable license to use feedback and suggestions to improve the Service without restriction.

8. Privacy and data practices

Our Privacy Policy (linked in the footer of our sites/apps) explains what personal information we collect, how we use and share it, and your choices and rights. For enterprise deployments where we act as a processor/service provider, our processing is subject to the applicable MSA/DPA. For direct‑to‑consumer users, we act as a controller. We employ administrative, technical, and organizational measures appropriate to the risk. Additional details (e.g., data retention, regional disclosures, cookies/SDKs, Global Privacy Control) are described in the Privacy Policy.

8.1 Model training & improvement

Enterprise/Customer data. We process enterprise Customer Content only to provide the Service to that customer and do not use such data to train general‑purpose foundation models.

Consumer Navii users. By default, we do not use your personal content to train third‑party foundation models. We may use de‑identified or aggregated information to improve Neopolis‑specific features and safety. We do not use résumé content, candidate chat history, or interview recordings to train our internal or external models unless you have provided explicit consent. Where required by law, you may opt‑out of improvement processing.

8.2 Subprocessors and international transfers

We use vetted service providers (e.g., cloud infrastructure, storage, analytics) under written contracts. Data may be processed in the U.S. and other countries, with appropriate safeguards for international transfers.

8.3 Security commitments

We maintain administrative, technical, and organizational measures appropriate to the risk, including: (a) encryption in transit and at rest for Customer Content; (b) backups in our cloud environment with access restricted to authorized personnel; (c) a documented incident response plan with customer and regulator notifications as required by law; (d) vulnerability management across code and infrastructure, with continuous scanning and prompt remediation per internal SLAs; and (e) periodic independent testing, including at least annual external penetration tests. The Service is hosted on Microsoft Azure using platform‑as‑a‑service components; physical security and certain underlying controls are provided by Azure.

9. AI interviews

When you participate in an AI‑facilitated interview (e.g., through a hiring company using Navii):

Consent & recording. You agree the interview may be recorded, processed, and stored for evaluation by the hiring company.

Use & sharing. Interview data is used to build your profile, support structured evaluation and fair hiring, and to improve platform performance (e.g., refining questions, UX). We share interview responses with the hiring company for its recruitment purposes. We do not sell, rent, or share interview recordings with third parties beyond the intended hiring process.

Your rights. You may request access, correction, or deletion of your interview data (subject to the hiring company’s policies and applicable law). Participation is voluntary and you may exit at any time.

No guarantee of employment. Participation does not guarantee a job offer; the hiring company makes final decisions.

Additional or updated interview terms presented in‑product also apply and are incorporated by reference.

10. Third‑party services and links

If you connect third‑party services (e.g., LinkedIn, calendars, storage), you authorize us to access and process information from those services as permitted by your settings and their policies. Third‑party sites/services are governed by their own terms and privacy policies.

10.1 Providers used to operate the Service

We rely on vetted vendors and cloud providers under written contracts to deliver the Service (e.g., Microsoft Azure for hosting; LLM providers for AI inference; speech‑to‑text, real‑time communications, email delivery, observability, analytics, CI/CD, and productivity tools). A current list or categories of subprocessors may be published in our Trust Center or Privacy Policy. Where feasible, we configure regional processing and apply appropriate transfer safeguards.

11. Beta/preview features

Features labeled “alpha,” “beta,” “preview,” or similar may be offered for evaluation, may be unstable or change at any time, and are provided AS IS without support or service credits.

12. Service modifications

We may update or discontinue features from time to time. If we make material changes that negatively impact core functionality of a paid plan, we will provide reasonable notice.

13. Term; Suspension; Termination; Data export

These Terms remain in effect until terminated. You may stop using the Service at any time and cancel renewals per Section 4. We may suspend or terminate your access for material breach (including AUP violations or non‑payment). Upon termination, your right to access the Service ends. Upon request made within 30 days after termination, we will provide a one‑time export of your then‑available Customer Content in a commercially reasonable format; thereafter we may delete or de‑identify Customer Content per our retention schedules and applicable law.

14. Disclaimers

THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. EXCEPT FOR INDEMNIFICATION OBLIGATIONS OR YOUR BREACH OF SECTION 6 (ACCEPTABLE USE) OR PAYMENT OBLIGATIONS, EACH PARTY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO NEOPOLIS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16. Indemnification

By Neopolis. We will defend and indemnify you from third‑party claims alleging that your authorized use of the Service infringes a third party’s intellectual property rights, and we may procure continued use, modify the Service, or terminate access with a pro‑rated refund, as applicable.

By you. You will defend and indemnify us from third‑party claims arising from (i) your misuse of the Service in violation of these Terms or law; or (ii) Customer Content that infringes or misappropriates third‑party rights.

17. Confidentiality

If you receive non‑public information from us marked or reasonably understood as confidential, you will protect it, use it only to access the Service, and not disclose it except to comply with law (with reasonable notice where permitted).

18. Export control and sanctions

You must comply with U.S. and other applicable export and sanctions laws. You will not use the Service in any Prohibited Jurisdiction or for any prohibited end‑use.

19. Anti‑corruption

You will not offer or accept any bribe, kickback, or other improper payment in connection with these Terms or the Service.

20. Publicity

We may use your name and logo to identify you as a customer on our websites and marketing materials, consistent with any trademark guidelines you provide. You may opt out by notifying us.

21. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with an effective date and provide notice of material changes. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

22. Governing law

These Terms are governed by the laws of the State of California, without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California for disputes not subject to arbitration (if any) or that cannot be resolved informally.

23. Miscellaneous

These Terms constitute the entire agreement for self‑serve access to the Service and supersede prior or contemporaneous terms on that subject. Order of precedence. If there is a conflict between an Order Form/MSA and these Terms, the Order Form/MSA controls. You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, it will be modified to reflect the parties’ intent; the remainder will remain in effect. A waiver of one breach is not a waiver of any other. Notices. We may provide notices by email to your account email address or via the Service; you will send legal notices to the postal address in Section 1.

24. Definitions

  • Customer Content: Content, data, and materials you submit to the Service (e.g., résumés, prompts, interview responses).
  • Outputs: Content generated by the Service in response to prompts or inputs.
  • Usage Data: Metrics and information about your use of the Service.
  • Beta Features: Features labeled alpha/beta/preview or similar.
